Fees for our Services are as described on our website or as agreed upon in a separate written agreement. All fees are non-refundable unless otherwise specified in writing. We reserve the right to change our fees at any time, with or without notice.

5. Payment Terms

Payment for our Services is due as specified in the applicable invoice or service agreement. For subscription-based services, payment is due at the beginning of each billing cycle. You authorize us to charge the payment method you provide for all fees incurred by you. If your payment method fails or your account is past due, we may suspend or terminate your access to our Services.

6. Intellectual Property Rights

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Drodler, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or internal business purposes.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUR SERVICES OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

You agree to defend, indemnify, and hold harmless Drodler, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our Services.

13. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of or related to these Terms or our Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware, in each case located in New Castle County, and you irrevocably submit to the exclusive jurisdiction of such courts in any such suit, action, or proceeding.

Your continued use of our Services following the posting of revised Terms means that you accept and agree to the changes.
